1. Acceptance of Terms

Welcome to TenantChatHub. These Terms of Service ("Terms") constitute a legally binding agreement between you and TenantChatHub ("Company," "we," "us," or "our") governing your access to and use of the TenantChatHub website, applications, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

TenantChatHub is a tenant pre-screening platform that enables landlords and property managers to:

  • Create and manage rental property listings
  • Configure customizable pre-screening questions
  • Deploy chat interfaces that collect tenant information 24/7
  • Automatically score and rank prospective tenants
  • Schedule and manage property showings
  • Communicate with prospective tenants via SMS and email
  • Integrate with Facebook Messenger for tenant inquiries

The Service is designed to streamline the initial tenant screening process but does not replace comprehensive tenant background checks, credit checks, or landlord due diligence.

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to create an account and use the Service.

3.3 Account Termination

You may terminate your account at any time by contacting us or through the account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activity.

4. User Responsibilities

4.1 For Landlords

As a landlord using the Service, you agree to:

  • Provide accurate information about your rental properties
  • Comply with all applicable fair housing laws and anti-discrimination regulations
  • Not use the Service to discriminate based on race, color, religion, sex, national origin, familial status, disability, or any other protected class
  • Handle tenant data responsibly and in compliance with privacy laws
  • Use tenant screening results as one factor among many in your rental decisions
  • Conduct proper due diligence before entering into rental agreements
  • Respond promptly to tenant inquiries routed through the Service

4.2 For Tenants

As a prospective tenant using the Service, you agree to:

  • Provide truthful and accurate information in your responses
  • Not misrepresent your identity, income, rental history, or other material facts
  • Respect the landlord's time by only inquiring about properties you are genuinely interested in
  • Honor showing appointments or cancel with reasonable notice

5. Prohibited Uses

You may not use the Service to:

  • Violate any applicable law, regulation, or ordinance
  • Discriminate against any person based on protected characteristics
  • Harass, abuse, or harm another person
  • Submit false, misleading, or fraudulent information
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated means to access the Service without permission
  • Scrape, harvest, or collect user information without consent
  • Send spam or unsolicited communications
  • Upload malicious code, viruses, or harmful content
  • Circumvent any security measures or access controls
  • Use the Service for any illegal or unauthorized purpose

6. Fees and Payment

6.1 Pricing

Certain features of the Service require payment. Current pricing is available on our website. We reserve the right to change our pricing with reasonable notice.

6.2 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

6.3 Refunds

Refunds may be issued at our discretion. Please contact us if you believe you are entitled to a refund.

6.4 Trial Credits

New accounts may receive a limited number of free trial conversations. Trial credits have no cash value and expire if not used within the specified period.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by TenantChatHub and is protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of content you submit to the Service (property listings, documents, etc.). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content for the purpose of providing the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.

8. AI and Automated Services

8.1 AI-Generated Content

The Service uses artificial intelligence to generate responses, score applications, and provide recommendations. AI-generated content is provided "as is" and may not always be accurate, complete, or appropriate.

8.2 Lead Scoring

Our lead scoring system provides automated rankings based on tenant responses. These scores are intended as a screening tool only and should not be the sole basis for rental decisions. Landlords are responsible for conducting their own due diligence and complying with fair housing laws.

8.3 No Guarantee of Accuracy

We do not guarantee the accuracy of AI responses or that all relevant questions will be asked or answered. The AI may occasionally provide incorrect or incomplete information.

9. Third-Party Integrations

The Service integrates with third-party services including Facebook Messenger, Google Calendar, Twilio, and Stripe. Your use of these integrations is subject to the terms and privacy policies of those third parties.

We are not responsible for the availability, accuracy, or content of third-party services.

10. SMS Communications

By providing a phone number to the Service, you consent to receive SMS messages related to the Service, including:

  • Pre-screening reminders and follow-ups
  • Showing confirmations and reminders
  • Landlord responses to questions
  • Service-related notifications

You may opt out of SMS messages at any time by replying "STOP" to any message. Standard message and data rates may apply.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • The results obtained from the Service will be accurate or reliable
  • The quality of the Service will meet your expectations
  • Any errors will be corrected

Not Legal Advice: The Service does not provide legal advice. Landlords should consult with qualified legal professionals regarding fair housing compliance, lease agreements, and other legal matters.

Not a Background Check: The Service is not a substitute for comprehensive tenant background checks, credit checks, or reference verification.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENANTCHATHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
  • STATEMENTS OR CONDUCT OF ANY USER OR THIRD PARTY
  • AI-GENERATED CONTENT OR RECOMMENDATIONS
  • DECISIONS MADE BASED ON INFORMATION FROM THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless TenantChatHub and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws
  • Content you submit to the Service

14. Fair Housing Compliance

Landlords using the Service are solely responsible for compliance with the Fair Housing Act and all applicable federal, state, and local fair housing laws. You may not use the Service to discriminate against any person based on:

  • Race or color
  • National origin
  • Religion
  • Sex (including gender identity and sexual orientation)
  • Familial status
  • Disability
  • Any other characteristic protected by applicable law

Violations of fair housing laws may result in immediate termination of your account and may be reported to relevant authorities.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at infowisesync@gmail.com to attempt to resolve the issue informally.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

15.3 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the Arbitration Act, 1991 (Ontario). The arbitration shall take place in Hamilton, Ontario, and the decision shall be final and binding.

15.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

19. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it at a later time.

Any waiver must be in writing and signed by an authorized representative of TenantChatHub to be valid and binding.

20. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Any attempted assignment in violation of this section shall be null and void.

We may assign these Terms, in whole or in part, to any party at any time without notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

21. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather events
  • War, terrorism, civil unrest, or armed conflict
  • Government actions, regulations, or embargoes
  • Pandemics, epidemics, or public health emergencies
  • Infrastructure failures, including power outages or internet disruptions
  • Third-party service provider failures or outages
  • Cyberattacks, hacking, or distributed denial of service attacks
  • Labor disputes or strikes

We will use reasonable efforts to notify you of any such event and resume performance as soon as reasonably practicable.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TenantChatHub regarding the Service and supersede all prior agreements and understandings.
